Welcome to WavuKazi. These Terms of Service ("Terms") govern your access to and use of WavuKazi websites, software, applications, infrastructure, courses, services, licenses, subscriptions, and related products.
By creating an account, purchasing a WavuKazi product or service, installing WavuKazi software, or using a WavuKazi service, you agree to these Terms.
If you do not agree with these Terms, do not use the applicable service.
WavuKazi is an ecosystem of tools, infrastructure, education, and services designed to help individuals, creators, developers, businesses, broadcasters, distributors, communities, and other participants build and operate their own activities.
WavuKazi provides tools. You remain responsible for what you build and how you use those tools.
WavuKazi does not automatically become the owner of your business, station, audience, content, products, or services merely because you use WavuKazi software or infrastructure.

We may require additional verification for certain products or services.
Except where a separate written agreement states otherwise, you retain ownership of content, materials, products, services, businesses, and other intellectual property that you create or own.
WavuKazi does not acquire ownership of your work merely because you use WavuKazi tools.
You are responsible for ensuring that you have the necessary rights, licenses, permissions, and authority for material you upload, distribute, broadcast, sell, license, or otherwise make available through WavuKazi services.
WavuKazi and its licensors retain ownership of:
Your use of WavuKazi products does not transfer ownership of these materials to you.
Where WavuKazi software is sold under a license, the license grants you the rights described by the applicable product license.
Unless expressly stated otherwise, purchasing software does not transfer ownership of WavuKazi's underlying intellectual property.

Specific products may have additional licensing terms.
Some WavuKazi products may be purchased and operated independently. However, WavuKazi is a living ecosystem.
As the ecosystem develops, new products, capabilities, protocols, security requirements, technologies, and interoperability standards may be introduced.
A licensed version of software does not necessarily guarantee compatibility with every future version of every WavuKazi product. For example, a future version of WavuTV may require capabilities that are not present in an older version of WavuWebTv. This is a normal consequence of continuing software development.
Certain WavuKazi products may offer service, maintenance, support, update, or ecosystem-participation plans.
These plans may provide access to:
The purpose of these programs is to maintain and develop the ecosystem. A service or update fee is not a percentage of your business revenue unless a separate agreement expressly says otherwise.
WavuKazi may provide special pricing to early adopters or existing customers. Where WavuKazi expressly identifies a price as grandfathered, that pricing may continue according to the terms under which it was granted.
Grandfathered pricing does not automatically transfer to unrelated accounts, new purchases, new products, or new organizations unless WavuKazi expressly permits such transfer.
WavuKazi may charge for:
Applicable pricing will be presented at the time of purchase or enrollment. Payment terms, renewal terms, refund terms, and applicable taxes may vary by product or service.
Unless a separate written agreement expressly provides otherwise, WavuKazi does not claim a percentage of your independent business transactions merely because you use WavuKazi products.
For example, if you operate a station, sell content, operate a Distro, sell products, provide services, or conduct another business using WavuKazi tools, you remain responsible for your own commercial relationships and transactions.
WavuKazi's normal business model is based on providing products, licenses, infrastructure, services, and education.
Operators using WavuWebTv or related products are responsible for:
WavuKazi does not automatically obtain rights to content simply because that content is transmitted through WavuKazi infrastructure.
Users operating WavuDistro or similar distribution infrastructure are responsible for determining that they have the necessary rights to store, process, distribute, license, or otherwise provide the content they manage.
WavuKazi does not grant you rights to third-party content merely by providing distribution infrastructure. Where content is licensed between creators, Distros, stations, or other participants, the parties involved are responsible for establishing the applicable rights and commercial terms.
WavuKazi may provide directories or discovery services for stations, Distros, creators, businesses, programs, services, or other participants.
Public listing information may be visible to other users or members of the public. WavuKazi may remove or modify listings that violate these Terms, applicable law, or the requirements of the relevant service.
You may not use WavuKazi services to:

We may restrict, suspend, or investigate activity that presents a reasonable risk to:
Where practical, we will distinguish legitimate technical activity from abuse.
WavuKazi products may interact with third-party services, infrastructure providers, payment systems, hosting providers, communication systems, or other external services.
Third-party services may have their own terms and privacy policies. WavuKazi is not responsible for the independent operation of third-party services.
We aim to provide reliable services, but no internet-connected service can be guaranteed to operate without interruption.
Availability may be affected by:
Where practical, we will take reasonable steps to restore affected services.
You may stop using a WavuKazi service at any time, subject to applicable contractual obligations.
WavuKazi may suspend or terminate access where reasonably necessary because of:
Termination of a service does not automatically transfer ownership of your content to WavuKazi. Certain obligations may survive termination, including intellectual-property, payment, liability, and dispute-related provisions.
WavuKazi may modify, improve, replace, or discontinue features and products as the ecosystem develops.
We will make reasonable efforts to communicate significant changes where appropriate. A product may evolve because new technology, security requirements, user needs, or ecosystem relationships require changes.
Courses and educational materials are provided for learning and development.
Completion of a course does not guarantee employment, certification, income, business success, or any particular outcome unless expressly stated by the applicable program. Where WavuKazi provides certification, the certification requirements will be defined by the applicable program.
WavuKazi provides tools and infrastructure. We do not guarantee that use of those tools will result in:
Your results depend on your decisions, work, market, content, customers, resources, and many factors outside our control.
Your use of WavuKazi services is also governed by the WavuKazi Privacy Policy.
WavuKazi does not secretly use or sell your personal information. The Privacy Policy explains what information we collect and how we use it.
To the maximum extent permitted by applicable law, WavuKazi services are provided on an "as available" and "as is" basis without warranties beyond those that cannot legally be excluded.
We do not guarantee that every service will operate without interruption or that every product will remain compatible with every future system.
To the maximum extent permitted by applicable law, WavuKazi will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of our services.
Where liability cannot legally be excluded, it will be limited to the extent permitted by applicable law. Specific products or agreements may establish different limitations where legally permitted.
To the extent permitted by applicable law, you agree to be responsible for claims arising from your unlawful use of WavuKazi services, your violation of these Terms, or your infringement of another party's rights.
This may include claims arising from content you distribute, rights you fail to obtain, or commercial activities you conduct through the services.
WavuKazi may update these Terms as the ecosystem develops or as legal requirements change.
When material changes are made, we will provide appropriate notice where required. Your continued use of the applicable services after the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by law.
These Terms shall be governed by the laws of The United States of America, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Any dispute-resolution provisions should be reviewed and finalized according to the jurisdictions in which WavuKazi operates.
